1. Introduction

Welcome to NumWise. These Terms of Service ("Terms") govern your use of the NumWise accounting software and related services (the "Service").

The Service is operated and provided by BuildFlow Angelika Kotarba, a sole proprietorship registered in Poland (NIP: 6711821792, REGON: 364919712, registered address: ul. 1 Maja 13/1, 78-100 Kołobrzeg, Poland), referred to in these Terms as "we", "our", or "us".

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access the Service.

2. Description of Service

NumWise is a cloud-based accounting software designed for Irish businesses. The Service includes:

  • Invoice creation and management
  • Expense tracking and categorization
  • Customer and supplier management
  • VAT calculations and reporting
  • Bank statement import
  • Financial reports and analytics
  • Email integration for sending invoices via Gmail

3. Account Registration

To use NumWise, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Keep your password secure and confidential
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized access or security breach

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or your business.

4. Subscription and Payment

4.1 Free Trial

We offer a 7-day trial for new workspaces. Starter features and limits apply during the trial. No payment is required to start the trial. A workspace gets one trial; choosing or changing a plan does not start another. When the trial ends, the workspace becomes read-only: you can still view and export your data, but you cannot create or send invoices, expenses or imports until a paid plan is active.

4.2 Subscription Plans

You may subscribe to a paid plan during your trial or after it ends. Subscription fees are billed monthly or annually, depending on your choice. Prices are in euro (EUR). The price shown is the price charged; nothing is added at checkout.

4.3 Payment Processing

Payments are processed securely through Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis. You are responsible for keeping your payment information up to date.

4.4 Billing, Renewal, Cancellation and Refunds

(a) Buying a plan. You can buy a plan on numwise.eu in Settings, Plan and billing, during your trial or after it ends. Plans are bought and managed on numwise.eu in a web browser. Payment is by card, processed by Stripe.

(b) Prices. The prices of the plans, and what each plan includes (people, invoices, document reading), are in our current price list, on our pricing page and in the app. The price that applies to your purchase is the one shown to you before the contract is made, at checkout. The price shown is the price charged; nothing is added at checkout. A change to the price list does not apply retroactively to a contract already made.

(c) Buying during the trial. If you buy a plan during your trial, nothing is charged when you check out and your trial still ends at the same time. The first payment for the plan is taken when your trial ends. If you buy in the last 30 minutes of your trial or after it has ended, the first payment is taken at once, and checkout shows this before you pay.

(d) Renewal and failed payments. Your plan renews automatically at the end of each month or year until you cancel it. Your invoices are in Manage billing. If a renewal payment fails, you can keep working while the payment is retried, up to 8 times within 2 weeks. If every retry fails, the subscription is cancelled and your workspace becomes read-only until a plan is active again.

(e) Changing plan. You can change plan, or switch between monthly and yearly billing, in Settings, Plan and billing, Manage billing. Before you confirm, Manage billing shows when the change takes effect and any amount due. For an immediate change, unused paid time is credited against the new price; any remaining amount due is charged when you confirm.

  • When you keep the same billing interval, moving to a higher plan takes effect immediately and keeps your billing date. Moving to a lower plan takes effect at the end of the current paid period.
  • When you keep the same plan, switching from monthly to yearly billing takes effect immediately and starts a new yearly period. Switching from yearly to monthly billing takes effect at the end of the current paid period.
  • Changing both the plan and the billing interval can take effect immediately or at the end of the paid period, as shown before confirmation. For example, Lite yearly to Business monthly takes effect immediately with unused yearly time credited; Business monthly to Lite yearly starts at the end of the paid month.

If the credit exceeds the new charge, the balance is used against future subscription invoices. Cancelling does not automatically pay out this balance. This does not limit any refund required by law. A plan change during a trial keeps the existing trial end date.

You keep your current plan until a scheduled change takes effect. To replace a scheduled change, cancel that change in Manage billing and choose another. Cancelling the subscription cancels its pending change and ends access to paid features at the end of the current paid period.

(f) Cancelling the renewal. You can cancel at any time in Settings, Plan and billing, Manage billing, or by writing to hello@numwise.eu. Your plan stays active until the end of the period you have paid for and is not renewed; Plan and billing shows that date. After it, your workspace becomes read-only: you can still view and export your data and contact support.

(g) Deleting an organization or your account. If you ask us to delete your account and this deletes an organization with a paid plan, its subscription is cancelled at once and no further payments are taken. The rest of the period already paid for is lost and is not refunded, except where the law requires a refund. This never affects whether we accept your deletion request: you do not need to cancel first or wait for the end of the period. If you would rather use the time you have paid for, you can cancel the renewal as in (f) and ask for deletion later; that is your choice.

(h) Refunds. Payments are not refundable, except where the law requires a refund. We may refund a payment at our discretion. Refunds are made to the card you paid with.

(i) Business use. NumWise is made for use in a trade, business or profession, and by buying a plan you confirm that you use it for that purpose. Nothing in these Terms limits any right that the law gives you and that cannot be excluded or limited by contract, including any rights you have as a consumer (see section 15).

5. User Responsibilities

You agree to:

  • Use the Service only for lawful purposes and in accordance with these Terms
  • Ensure the accuracy of all data you enter into the Service
  • Comply with all applicable Irish and EU laws and regulations, including tax laws
  • Not use the Service for any fraudulent or illegal activities
  • Not attempt to gain unauthorized access to any part of the Service
  • Not interfere with or disrupt the Service or servers
  • Not upload malicious code, viruses, or harmful content

Important: While NumWise helps you manage your accounting and prepare draft VAT figures, you remain solely responsible for the accuracy of your tax filings and compliance with Irish Revenue requirements. We recommend consulting with a qualified accountant for complex tax matters.

6. Data Ownership and Usage

6.1 Your Data

You retain all ownership rights to the data you enter into NumWise. This includes your invoices, expenses, customer information, and financial records. We do not claim any ownership of your business data.

6.2 License to Use

You grant us a limited license to use your data solely to provide the Service, including storing, processing, and displaying your data within the application.

6.3 Data Export

You may export your data at any time through the Service, including after a trial ends: every record as an Excel workbook with one sheet per record type, reports in Excel (some also as CSV), and invoices and credit notes as PDF. Receipt and document files you uploaded are not part of the workbook; you can download them from the records they belong to.

7. Third-Party Integrations

NumWise integrates with third-party services such as email providers and payment processors. When you choose to connect these services:

  • You authorize us to access data from these services as necessary to provide the integration
  • You agree to comply with the third-party's terms of service
  • We are not responsible for the availability or performance of third-party services
  • You can disconnect integrations at any time through your account settings

8. Intellectual Property

The Service, including its original content, features, and functionality, is owned by BuildFlow and protected by international copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Service without our prior written consent.

9. Service Availability

We strive to maintain high availability of the Service. However, we do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:

  • Scheduled maintenance (we will provide advance notice when possible)
  • Emergency repairs
  • Factors beyond our control (internet outages, third-party service failures)

10. Data Retention and Deletion

10.1 Your records

Irish law requires businesses to keep their financial records, generally for at least 6 years. That duty is yours. NumWise lets you keep, view and export your records while your account exists (see 6.3), but it is not an archive service and does not keep them for you after your account is deleted. Export them before you ask for deletion.

10.2 When your trial or plan ends

Your workspace becomes read-only: you can view and export your data and contact support, but not create, change or send records. Ending a plan does not by itself delete the workspace. Every 6 months we review whether the data of inactive accounts still needs to be kept, following the review described in our procedures, and we contact the account owner. We delete an inactive account only at its owner's request; nothing is deleted automatically.

10.3 Deleting your account

You can ask us to delete your account in Settings, Profile, "Delete account", or by emailing support@numwise.eu from your account's email address. We answer within one calendar month of receiving your request, as described in section 4 of our Privacy Policy and on numwise.eu/delete-account. An organization you are the only member of is deleted with all its records and files; an organization shared with other people is deleted only on your written confirmation, after its members have been told at least 14 days before; an organization you only belong to keeps its records and you leave it. Deletion is permanent: we do not restore deleted data, and links to invoices and quotes you sent stop working.

10.4 Paid plans

What happens to a paid plan when an organization is deleted is set out in section 4.4 (g).

11. Limitation of Liability

To the maximum extent permitted by law:

  • The Service is provided "as is" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
  • We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
  • Our total liability for any claim arising from or relating to these Terms or the Service shall not exceed the amount you paid us in the 12 months preceding the claim.
  • We are not responsible for errors in tax calculations or filings that result from inaccurate data you provide or incorrect use of the Service.

12. Indemnification

You agree to indemnify and hold harmless NumWise and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

13. Termination

13.1 By You

You may cancel your subscription at any time through your account settings or by contacting us at hello@numwise.eu. Cancellation takes effect at the end of your current billing period.

13.2 By Us

We may suspend or terminate your account if you violate these Terms, fail to pay subscription fees, or engage in conduct that we reasonably believe is harmful to other users or the Service. We will provide notice before termination except in cases of serious violations.

14. Changes to Terms

We may update these Terms from time to time. We will notify you of significant changes via email or through the Service. Your continued use of the Service after changes take effect constitutes acceptance of the new Terms. If you do not agree to the updated Terms, you should stop using the Service and cancel your subscription.

15. Governing Law

These Terms are governed by and construed in accordance with the laws of Poland, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Poland competent for the seat of the data controller.

Nothing in this section limits the mandatory consumer-protection rights available to you under the laws of your country of residence within the European Union (Regulation (EC) No 593/2008 on the law applicable to contractual obligations).

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
